Media Release, Copyright, Facility, and Confidentiality Agreement – CHALLENGE LYFE INC & LYFE Foundation

In consideration of my being approved for attendance at the below-referenced Event, and for other good and valuable consideration, the receipt and sufficiency of which I hereby acknowledge:

1. I hereby expressly grant to CHALLENGE LYFE INC. and The LYFE Foundation (‘LYFE”) and its respective agents and assignees, associated or affiliated companies, their directors, officers, agents, employees and customers, and appointed advertising agencies, their directors, officers, agents and employees the irrevocable and perpetual right to (a) make and use any recording, reproduction and/or broadcast (including over the Internet or an “Intranet” site) in any electronic, analog, digital, video, audio, written, photographic, graphic, mechanical or other medium now known or hereafter devised (collectively, the “Works”) and (b) include my voice and picture, silhouette, and other reproductions of my physical likeness or voice in any of such Works, which Works may be used, exhibited, advertised or exploited in or for any for commercial, educational or informational purposes, including without limitation, in connection with or as part of any presentation or program, or publication, product, transmission or other professional endeavor, in any of the foregoing media or other medium now known or hereafter devised.

2. I agree that LYFE shall be the sole and exclusive owner of all right, title and interest, whether now known or hereafter recognized, in and to any such Works and the contents thereof, together with any modifications thereof or works deriving there from, and LYFE shall have the right, for any purpose, to use, adapt, change, delete from or add to such form and content, to combine all or any part of the Works with other works, and to use, distribute, advertise, market and otherwise exploit any and all of the foregoing in any manner and in any medium, now known or hereafter devised, as LYFE shall determine in its sole discretion. I agree to cooperate with LYFE, at its expense, in all further actions, which LYFE deems necessary or desirable to confirm, register, protect or enforce LYFE’s rights in and to such Works. I waive all rights of copyright or ownership which I might otherwise have in or to any of the Works in which my image, likeness or voice appears, and I agree to assign, and do hereby assign, to LYFE any such right, title, and interest in and to any such Works. I agree to execute all documents deemed necessary or desirable by LYFE in connection therewith. I acknowledge that I am not entitled to any monetary or other compensation in exchange for the grants, waivers and agreements I have made herein. I also agree to allow all forms of distribution of my submitted course materials that accompany the images or my voice.

3. I hereby release LYFE and any of its associated or affiliated companies, their directors, officers, agents, employees and customers, and appointed advertising agencies, their directors, officers, agents and employees from all claims of every kind on account of the use of my likeness by LYFE in any way.
4. I hereby waive any and all right that I may have to inspect or approve the finished product or printed matter that may be used in connection to LYFE. This waiver is irrevocable and unconditional. There is no time limit on the validity of this release nor is there any geographic limitation on where these materials may be distributed. There is no termination date on this contract/release. By signing this form I acknowledge that I have completely read and fully understand the above release and agree to be bound thereby from this date and all dates in the future.

I hereby certify that I have read the foregoing and fully understand the meaning and effect thereof, and intending to be legally bound, hereunto set my signature as follows.
